i am locked out of my ipad and I am trying to restore it on itunes but itunes is asking for an update on the ipad. how can i update when the ipad when i am locked out?

No, the app you need to update is iTunes on your PC (do not confuse it with iTunes Store app on iPad).
When done, see these instructions, keeping in mind that if you don't have a backup all data will be lost on that device (except those that you eventually synced to iCloud):
