If it's a new watch 3 then it won't pair with a 5s,if it has watchos5 or lower then yes it will pair,a new watch 3 has watchos6 installed and this requires a phone with ios13 or higher and the fact that it has cellular makes no difference,to work it needs an iphone 6s or higher with ios13 or higher.
