Unable to perform OS update - Apple Watch 3

Apple Watch 3 - Os Update is always stuck during Prepare state for ever. Now in iPhone 6s, this watch doesn't appear except for trying to Pair & Update now. The same cycle repeats.

Tried restarting Apple Watch 3 & iPhone 6s. - No luck.

Tried erasing the Apple Watch 3 from iCloud, that is not happening as it expects Watch to be connect to internet.
