I can’t pair my new iPhone with my old Apple Watch, old phone no longer works. And I don’t remember passcode to my Apple Watch. How am I able to pair my new iPhone with my old watch?

i got a new phone and I can’t remember my Apple Watch passcode and I’m trying to pair my new device with it but it won’t allow me too and I tried to reset my Apple Watch but it won’t let me. How do I go about pairing my new iPhone with my old Apple Watch that is paired with a phone that no longer works?
