You can attempt to pair it to a different iphone if you're having trouble downloading software currently.
When it pairs, it will ask you for the option to update. That would be a good time to do so.
If it doesn't work and you're getting errors, you'll have to make a genius bar appointment to send in the watch. They have to remove the display and upload software manually through a port.
Even if the watch is out of warranty, the software repair should be free. Apple will tell you if they find anything you may have a fee. Send it anyway. If they can reload the software and rescue the watch, they shouldn't charge you according to their own procedures currently software is free. However, if it has physical damage, you can forget this as they won't touch it without addressing the physical damage.
