how does one fade the background when video clip has audio?

There are a couple of ways of lowering the volume of a backgound clip.
One way is to select the video clip and then click on the loudspeaker icon in the tool bar at the upper right of your screen. Put a check in the box that says “lower the volume of other clips”. That will lower the volume of the audio clip in the portion of it that is beneath the video.
Another way is to press drag your cursor over the range in the audio clip in which you want to lower the volume. A yellow box will appear outling the range over which you dragged. Now put your cursor on the horizontal volume line of the part of the audio that is in the yellow box. While pressing down, pull the line downward to lower the volume of only that portion of the audio within the box. For this to work you must first click on the settings button above the time line to the right and, in the dialogue box that appears, put a check in the Audio:Show Waveforms box.
